Saudi Arabian Mining Company (Maaden) announces that the company 10th Ordinary General Assembly Meeting was held at 18:30 on Sunday, 22-10-2017G corresponding to 02-02-1439H at the Company Headquarter in Riyadh.
After fulfilling the legal quorum and reached an attendance of 73.15% of the total shares of the company, the Ordinary General Assembly has voted on the following:
1. Approval of the amendment of the Audit Committee Charter.
2. Approval of the amendment of the Nomination and Remuneration Committee Charter.
3. Approval of the appointment of the members of the Board of Directors for the next term, which begins on 25/10/2017 and for a period of three years, through selection of the below from the candidates presented, through cumulative voting:
H.E. Eng. Khalid bin Abdulaziz Al-Faleh (Representative of the Public Investment Fund)
H.E. Suliman bin Abdulrahman Al-Gwaiz (Representative of the General Organization for Social Insurance)
Eng. Abdullah Bin Ibrahim Al-Saadan (Representative of the Public Investment Fund)
Dr. Klaus Kleinfeld (Representative of the Public Investment Fund)
Mr. Richard O Brien (Representative of the Public Investment Fund)
Eng. Abdullah Bin Mohammed Al-Eisa
Mrs. Lubna Bint Sulaiman Al Olayan
Eng. Azzam Bin Yaser Shalabi
Engr. Khalid Bin Saleh Al-Mudaifer
4. Approval of the formation of the Audit Committee and the appointment of its (4) members for the new term starting from 25/10/2017 and for a period of three years, pursuant to the regulation and responsibilities listed in the Audit Committee Charter, as per the below:
1- Eng. Abdallah bin Ibrahim Al-Saadan (chairman).
2- Eng. Azzam bin Yaser Shalabi (member).
3- Eng. Khalid bin Hamad Al Sunani (member).
